1. Acceptance of Terms
By accessing and using Focus Box ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Focus Box regarding your use of the Service.
2. Eligibility
You must be at least 13 years old to use Focus Box. By using the Service, you represent that you are at least 13 years old and have the legal capacity to enter into a binding agreement. If you are using Focus Box on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration and Security
To use certain features of Focus Box, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain the confidentiality of your password and account credentials - Promptly notify us of unauthorized access or use of your account - Accept full responsibility for all activities under your account - Not share your account with others or allow others to use it Focus Box is not responsible for unauthorized access resulting from your failure to keep credentials secure.
4. Use License
Focus Box grants you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes. This license does not include: - Copying, modifying, or creating derivative works - Reverse engineering or attempting to extract source code - Removing or altering copyright, trademark, or proprietary notices - Automated access, scraping, or data extraction - Selling, renting, leasing, or sublicensing the Service - Using the Service to develop competing products - Accessing the Service through unauthorized third-party applications Violation of these restrictions may result in immediate termination of your account.
5. User Responsibilities
You agree not to use Focus Box for: - Illegal activities or violation of applicable laws - Harassment, abuse, or threats toward other users or employees - Spreading malware, viruses, or harmful code - Unauthorized access to systems or networks - Phishing, social engineering, or deceptive practices - Spamming, unsolicited communications, or advertisement - Infringing intellectual property rights - Transmitting sensitive financial information or passwords - Circumventing security measures or rate limits To maintain reliable service and prevent abuse, Focus Box reserves the right to impose reasonable use limits on email-related activity, including limits on the number of emails that may be processed or sent per day. These limits may vary by account type, technical constraints, third-party provider requirements, and overall system load, and may be updated from time to time without prior notice. Focus Box reserves the right to investigate violations and take appropriate action, including account termination and legal action.
6. Intellectual Property Rights
Focus Box owns all intellectual property rights in the Service, including but not limited to: - Source code, algorithms, and architecture - User interface design and artwork - Documentation and written content - Trademarks, logos, and brand names - Database structure and content Your use of the Service does not grant you ownership of any intellectual property. You may not use Focus Box's intellectual property without express written permission. You retain all rights to content you create (emails, labels, configurations). By using the Service, you grant Focus Box a license to use your content as necessary to provide the Service.
7. Third-Party Services and Integrations
Focus Box integrates with third-party services, including Google and Microsoft, to access your email. These integrations are subject to: - The terms and policies of those third parties - Your grants of permission to Focus Box to access your data - Changes or discontinuation by those third parties without notice Focus Box is not responsible for: - Changes to third-party services or APIs - Data loss or service interruption caused by third parties - Privacy practices of third-party services - Charges or fees imposed by third parties You may revoke Focus Box's access to your email at any time through your Google or Microsoft account settings.
8. Payment Terms
8.1 Paid Subscriptions: - Payment is processed by Lemon Squeezy, a third-party payment processor - You authorize Focus Box to charge your payment method for subscription fees - Subscriptions automatically renew unless cancelled - Refunds are not available except as required by law 8.2 Cancellation: - You may cancel your subscription at any time - Cancellation takes effect at the end of your billing cycle - No refund is issued for partial months 8.3 Billing Disputes: - Report billing issues to [email protected] within 30 days - Focus Box will investigate and resolve in good faith - Continued disputes may result in account suspension
9. Service Availability and Modification
Focus Box is provided "as-is" and "as-available." We make no guarantees regarding: - Continuous or uninterrupted service - Specific uptime percentages - Bug-free operation Focus Box reserves the right to: - Modify, update, or discontinue features - Perform maintenance that may cause temporary unavailability - Change pricing with 30 days' notice - Discontinue the Service with 60 days' notice to active users If Focus Box is discontinued, we will provide instructions for data export.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: - Focus Box is not liable for indirect, incidental, special, or consequential damages - Focus Box is not liable for lost profits, lost revenue, lost data, or business interruption - Focus Box's total liability is limited to the amount you paid in the past 12 months (or $100, whichever is greater) - These limitations apply even if advised of the possibility of damages Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FOCUS BOX DISCLAIMS: - Implied warranties of merchantability and fitness for a particular purpose - Warranties that the service will be error-free or uninterrupted - Warranties regarding the accuracy or reliability of any information provided - Warranties that defects will be corrected Use the Service at your own risk. You are responsible for maintaining backups of your data.
12. Indemnification
You agree to indemnify and hold harmless Focus Box from any claims, damages, or losses arising from: - Your violation of these Terms - Your violation of applicable laws - Your use of the Service in an unauthorized manner - Your infringement of third-party rights - User-generated content you provide This indemnity does not apply to claims resulting solely from Focus Box's negligence or willful misconduct.
13. Termination
13.1 By You: - You may delete your account at any time through Settings 13.2 By Focus Box: - Focus Box may terminate your account for violation of these Terms - Focus Box may terminate your account for abuse or illegal activity - Termination is effective immediately upon notice - No refund is issued for prepaid subscription fees 13.3 Effect of Termination: - Your access to the Service is revoked - Your data is deleted after 30 days unless you request export - Provisions that survive termination include limitation of liability, indemnification, and governing law
14. Dispute Resolution
Any dispute arising from these Terms shall be resolved as follows: 1. Good Faith Discussion: Both parties will attempt to resolve disputes informally 2. Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles 3. Jurisdiction: You consent to the exclusive jurisdiction of the state and federal courts located in Florida for any disputes not resolved informally Exceptions: - Focus Box may seek injunctive relief for intellectual property infringement - Either party may pursue claims in small claims court if eligible
15. Severability and Waiver
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Focus Box's failure to enforce any right does not constitute a waiver of that right.
16. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Focus Box regarding the Service. These Terms supersede all prior agreements and understandings.
